This Acceptable Use Policy (“Policy”) is incorporated into the Platform Subscription Agreement (“Agreement”) between SEETS TECHNOLOGIES INC., **dba weshowup.io (“weshowup”) and the business entity identified as “Subscriber**” on the Cover Page to the Agreement.
Except as otherwise expressly set out in this Policy, the defined terms used in this Policy have the meanings assigned to them in the Agreement.
This Policy describes the types of uses of the Platform that are contrary to weshowup’s objectives and that are, therefore, prohibited. This Policy applies to all authorized users of the Platform.
This Policy is published by weshowup as part of its overall effort to: provide high quality, reliable and stable service to all of its customers; protect the privacy and security of its customers, systems and networks; encourage responsible use of weshowup’s resources; and comply with applicable laws. Therefore, weshowup reserves the right, in its sole discretion, to determine whether a use of the Platform is a violation of this Policy and if weshowup becomes aware of a violation of this Policy, then weshowup may take such action as it deems appropriate to address the violation, as set out below.
The following uses of the Platform are prohibited. The following list is a guideline and is not intended to be exhaustive.
The Agreement may specify a maximum number of authorized users (“*Authorized Users *”) of a Subscriber who may be registered to access and use the Platform on that Subscriber’s behalf. The Subscriber will appoint and authorize one Authorized User (an “ *Administrator *”) to administer the Subscriber’s use of the Platform, including the appointment and termination of other Authorized Users. The Subscriber will ensure that all Authorized Users use the Platform only on behalf of the Subscriber and strictly in accordance with the restrictions and requirements set out in the Agreement, including this Policy. The Subscriber is fully responsible and liable for all acts and omissions by or on behalf of Authorized Users and their access to and use of the Platform and the results obtained therefrom. The Subscriber will ensure that each Authorized User fully complies with all of Subscriber’s obligations under the Agreement, and all of the requirements, restrictions and limitations regarding the Platform set out in the Agreement.
The Platform may permit an Administrator to authorize and terminate other Authorized Users’ registration to use the Platform using online controls. The Subscriber may submit a written request (including by email) to weshowup requesting that weshowup terminate an Administrator’s registration to use the Platform. weshowup, acting reasonably, may refuse to register an individual as an Authorized User, and may restrict, suspend or terminate (in whole or in part) an Authorized User’s registration to access and use the Platform. Each Authorized User will be considered to be an active Authorized User of the Platform unless and until his or her registration to use the Platform is terminated by an Administrator or weshowup in accordance with the Agreement.
Each Authorized User will access and use the Platform using a valid and subsisting user name and password registered with the Platform (collectively, “Credentials”). Credentials are specific to the Authorized User for whom they are registered, and may not be shared with or transferred to any other person. The Subscriber will ensure that each Authorized User keeps their Credentials secure and confidential at all times, does not permit any other person to use their Credentials, and immediately notifies weshowup if they know or suspect that their Credentials have become known to or used by any other person. The Subscriber is fully responsible and liable for the security of all Credentials and all use and misuse of Credentials. If weshowup, in its discretion, considers a Credential to be unsecure or to have been used inappropriately, then weshowup may immediately cancel the Credential without any notice to the Subscriber, the affected Authorized User, or any other person. weshowup may require Authorized Users change their Credentials from time to time.
The Platform may contain technologies that monitor, record and report to weshowup information regarding an Authorized User’s access to and use of the Platform, and weshowup may use that information for system administration purposes and to provide the Platform and related services to the Subscriber, and may disclose that information to the Subscriber and the Subscriber’s other personnel. The Subscriber will obtain from each Authorized User his or her informed consent to the collection, retention, use, storage, processing and disclosure of their personal information as set out in this Policy and as otherwise permitted by applicable law.
Uses of the Platform may not exceed the parameters described in this Policy and the Agreement as excessive and extreme usage may result in a strain on the environment. Although weshowup has designed the Platform to handle server strain generated by the activity of its subscribers, excessive and extreme usage may affect responsiveness of the Platform.
Noncompliance with any of the above guidelines may result in a demand from weshowup for immediate corrective action by a Subscriber. In cases where weshowup deems it necessary to prevent negative consequences to the service environment, weshowup may temporarily disable a Subscriber’s access to the Platform until weshowup and the Subscriber are able to reach an agreement with respect to corrective action. weshowup, at its sole discretion, reserves the right to take corrective measures, without prior notice to a Subscriber, if that Subscriber cannot immediately be reached, where weshowup deems it necessary to do so. Refunds or credits will not be issued in connection with actions taken for violations of this Policy.
